Local Lange Girl Contest - Official Rules

1. NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. The Local Lange Girl Contest is sponsored by The Rossignol Group, PO Box 981060, Park City, UT, 84098; ('Sponsor') and administered by Storm Mountain Publishing (“Administrator”). The geographic scope of this promotion is the United States. Contest is subject to all federal, state and local laws. Void where prohibited by law. By entering, entrants agree to these Official Rules. Limit one (1) prize per person.

3. Contest begins on December 1st, 2010 and ends on January 14, 2011 at 5:00 p.m. MT (“Promotion Period”). Final entry deadline is January 14, 2011 at 5:00 p.m. MT. Administrator’s computer is the official time-keeping device of this Contest.

4. Each photograph submitted, in whole or in part, may be edited, modified, adapted, copyrighted, published, reproduced, and used by Sponsor and Administrator for any purpose and in any media whatsoever, without further compensation or review and will not be returned.

ELIGIBILITY

5. All entrants must be eighteen (18) years old, legal residents of the United States at the time of entry and have Internet access.

6. Employees and contractors of The Rossignol Group and Storm Mountain Publishing (collectively “Contest Entities”), or individuals engaged in the development of, the production or distribution of materials for, or the implementation of this Contest and the immediate families (defined as spouse, parents, siblings or children) or household members (whether or not related) of the employees of any of these, are not eligible.

PRIZES

7. Lange will select up to four women to become Local Lange Girls. Regional Winners each receive one pair of Lange ski boots. National winner receives one pair of Dynastar skis and one pair of Lange ski boots. Winners may be asked to represent Lange at regional events. National winner may receive editorial coverage in a 2011 issue of Freeskier magazine. Details of editorial coverage to be determined between The Rossignol Group, Storm Mountain Publishing and the winner.

PRIZE RESTRICTIONS

8. All details of all prizes shall be at Administrator’s sole discretion. Winner assumes sole responsibility for all costs associated with the prizes not explicitly outlined above. All federal, state and local taxes (if any) are the sole responsibility of the Winner.

9. No portion of the prize is redeemable for cash. Prize may not be sold or bartered. Prizes may not be transferred or substituted except that Administrator in its discretion may substitute a prize, or portion thereof, with a prize or portion of equal or greater value if it deems necessary. Any such changes will be announced.

TO ENTER

10. Entries will be accepted beginning December 1st, 2010 and ending on January 14, 2011 at 5:00 p.m. MT (“Entry Period”). To enter, visit www.locallangegirl.com and follow instructions to create a user profile. Once you have completed your user profile, follow the instructions to submit a post and photos using the site. See homepage for instructions.

11. Entries will not be accepted via regular mail or any other method. Entries must be received by Administrator no later than January 14, 2011 at 5:00 p.m. MT. Proof of sending is not proof of receipt by Administrator. Contest Entities are not responsible for Entries that are lost, misdirected, mutilated, incomplete, not legible, if they contain errors or if for any reason they are not received by Administrator prior to the stated deadline, and all such Entries are void.

12. Entries must include a valid e-mail address for the entrant. You may enter the Contest under one name and one e-mail address only. Enter using only an e-mail address subscribed to and registered in your name. In the event of a dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be declared made by the “Authorized Account Holder” of the e-mail address submitted at time of entry. “Authorized Account Holder” is defined as the natural person 18 years of age or older who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

13. Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar entry methods or agents (including, but not limited to, contest-entry services) are prohibited and will void all entries submitted by that entrant.

14. To be eligible for the Contest, all entries must be received by Administrator no later than 5:00 p.m. MT on January 14, 2011. Entrants who fail to provide any of the information required above will not be eligible to win and will not be notified by Administrator. Entrants assume all risk of lost, late, misdirected, incomplete, or illegible entries.

15. The information that you provide in connection with the Contest may be used by Storm Mountain Publishing in accordance with its Privacy Policy, which is found at http://www.freeskier.com/pages/privacyPolicy.php and which may be updated from time to time.

SUBMISSION REQUIREMENTS

16. Photos must meet the photo format guidelines in order to be uploaded. File formats accepted include: .jpg, .gif, .tiff. The maximum dimensions of the photo are 2000x2000 pixels. Maximum total file size is 1.5MB per photo.

17. No watermarks, signatures, or copyright notices may be added to any Photos. Photos containing nudity will not be eligible.

18. Photos must be original to entrant (not copied, adapted, or reproduced from any other source and not a collaboration with any other person).

19. Any photo that is determined by Administrator in its sole discretion at any time during the Contest to violate the Submission Requirements or the Official Rules, or to otherwise be in unsuitable, offensive or poor taste, may be rejected and the accompanying Entry disqualified.

WARRANTY BY ENTRANT

20. By submitting photography, each Entrant warrants that (a) the entire Entry and all Photos therein are original to and were created solely by the Entrant and have not been copied, in whole or in part, from a copyrighted or proprietary work belonging to someone else, (b) the Entry and all Photos therein do not violate any copyright laws, and does not plagiarize, libel, defame, disparage, slander or otherwise infringe on or violate the rights of any third parties, (c) that she is legally entitled to submit the Entry in the Contest; (d) the distribution, reproduction, display and any other uses of the Entry and all Photos therein by Contest Entities as permitted herein will not infringe any third party rights, including those of any person who is depicted in, or whose property is depicted in, the Entry, or the person who took the photo if other than the Entrant, and (e) the Entry and Photos therein comply with each of the provisions of the Terms of Use of the Contest website at www.locallangegirl.com.

21. Each photograph submitted, in whole or in part, may be edited, modified, adapted, copyrighted, published, reproduced, and used by Sponsors for any purpose and in any media whatsoever, without further compensation or review and will not be returned.

22. Each Entrant agrees to indemnify and hold harmless the Contest Entities, their respective parent companies and subsidiaries, and their respective officers, directors, employees and affiliated organizations, from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by the Entrant of these Official Rules or the warranties and representations made in this Section.

WINNER SELECTION

23. All Entries that are timely and properly submitted during the Promotion Period will be judged by an independent panel of judges (“Contest Judges”), consisting of creative professionals employed by The Rossignol Group and Storm Mountain Publishing. The submission of your Entry to the Contest Judges does not constitute an acknowledgement or determination by Administrator that your Entry satisfies these Official Rules, including the Submission Requirements, or that you are otherwise eligible. However, Administrator reserves the right, at any point during this Contest, to refuse to submit to the Contest Judges, or to withdraw from the Contest Judges' consideration, any Entries that Administrator determines, at any time and in its sole discretion, do not satisfy all requirements of these Official Rules.

24. Contest Judges will determine the winner at their own discretion. TOTAL NUMBER OF VOTES, OR SHARES TO FACEBOOK OR TWITTER DO NOT DETERMINE WINNING ENTRY.

25. On or about January 21, 2011, or within a reasonable time thereafter, Contest Entities will announce the Winner.

WINNER NOTIFICATION

26. Administrator will contact potential Winner in accordance with the information supplied to Administrator on the Winner’s Entry Forms. Winner will be asked to provide Administrator with valid identification and execute an affidavit of eligibility and, where legal, a publicity release, and return these documents within seven (7) days of notification. Acceptable identification includes a valid driver’s license or other valid picture ID showing name and address. Faxes will not be accepted. The Winner may also be required to sign other legal documents, including tax forms and a release supplied by Administrator which, among other disclaimers, releases the Contest Entities and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons from any and all liability related to this Contest and the receipt and use of the prize. Upon verification of eligibility, the name of Winner may be posted on Storm Mountain Publishing, The Rossignol Group and the Contest Entities’ websites, including but not limited to the following sites: www.freeskier.com, www.smpmags.com, langeskiboots.com, facebook.com/freeskier, www.locallangegirl.com.

27. In the event that any potential winner (a) fails to satisfy any eligibility or verification requirement herein, (b) declines to accept the prize, (c) or is otherwise determined to be ineligible, Administrator may in its discretion disqualify that individual and an alternate winner will be chosen from the remaining entries as soon as reasonably practicable after initial winner is determined to be ineligible. Alternate Winner is subject to all eligibility requirements and restrictions of these Official Rules.

PUBLICITY RELEASE

28. By accepting a prize, where permitted by law, winner grants to The Rossignol Group and Storm Mountain Publishing (and agrees to confirm that grant in writing), and those acting pursuant to the authority of The Rossignol and Storm Mountain Publishing, the right to print, publish, broadcast, and use for the purposes of this or similar contest only, worldwide in any media now known or hereafter developed—including, but not limited to, the World Wide Web—at any time(s), their name, picture, likeness, and information, as news or information and for art, trade, and/or promotional purposes without additional compensation or review. Any individuals depicted in the potentially winning Entry and the photos therein must also sign and return a Release of Liability/Publicity within the seven-day period specified by Administrator. Each winner also grants The Rossignol Group and Storm Mountain Publishing the rights to use photos from the winning Entry for promotion of this contest or similar.

LIMITATION OF LIABILITY/DISCLAIMER OF LIABILITY

29. Entrants agree that Contest Entities and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons (a) are not responsible for technical failures of any kind, including but not limited to lost, disconnected, interrupted, or unavailable network, server, or other connections, late, lost, undeliverable, damaged or stolen mail, or for any failed telephone or computer hardware or software, or for any failed, delayed, misdirected, corrupted, or garbled transmissions or errors of any kind, whether human, mechanical, or electronic, or for entries that for any reason are not received by Administrator by the deadlines stated above; (b) are not responsible for any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest or in the printing of this offer, administration of this contest, or in the announcement of the prizes; (c) are not responsible for any injury or damage to any computer, modem or other electrical device as a result of participation in this contest or downloading of any software or materials; (d) are not responsible for unauthorized human intervention in any part of the Submission process or the Contest; (e) are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions, the announcement of the prizes or in any Contest-related materials; (f) are not responsible for any unauthorized third party use of any Submission; (g) are not responsible for the inability to select Winner because of postal failure, equipment failure, or data storage failure; and (h) are released from any and all alleged, existing, or future actions; claims; and/or liabilities of whatever nature including, but not limited to, personal injury, bodily injury (including, without limitation, wrongful death and disability), property damage, and expense (including, without limitation, reasonable attorneys’ fees) and loss or damage of any other kind, arising in whole or in part directly or indirectly, from their participation in the Contest (in whole or in part); use (including modification, adaptation, and reproduction) of Entry materials during or after the Contest; and the delivery, acceptance, possession, use, misuse, loss, or misdirection of any prize.

MISCELLANEOUS

30. All federal, state and local laws apply. Administrator shall be entitled to interpret these rules as needed — including but not limited to rules regarding entries, selection of Winner, deadlines, restrictions on prizes, and eligibility — and all of its decisions are final. By entering, entrants agree to these Official Rules.

31. Administrator reserves the right to cancel, terminate or suspend this Contest or any part of this Contest should any non-authorized intervention, network failure, information storage failure, telecommunications failure, malfunction, or other causes beyond its control, corrupt or impair the security, administration, fairness and/or operation of this Contest as determined by Administrator in its sole discretion, at which time, Administrator will determine the Winner from among all non-suspect eligible entries received at the time of the Contest termination using the same selection method and criteria set forth above.

32. Administrator reserves the right to prohibit any entrant from participating in the Contest if, at its sole discretion, Administrator finds such entrant to be tampering with the entry process or the operation of the Contest, or if such entrant repeatedly shows a disregard for, or attempts to circumvent, these Rules, or acts: (a) in a manner Administrator determines to be not fair or equitable; (b) with an intent to annoy, threaten or harass any other entrant or any of Contest Entities; or (c) in any other disruptive manner. Any person attempting to defraud or tamper with this Contest in any way will be ineligible for prizes and may be prosecuted to the full extent of the law. Any failure by the Administrator to enforce any of these Rules shall not constitute a waiver of such Rules.

33. Administrator reserves the right to correct typographical or clerical errors in any contest-related materials. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Administrator reserves the right to award only the stated number of prizes by selecting the Winner from all legitimate, un-awarded, eligible prize claims in accordance with the previously announced selection criteria.

DISPUTES

34. By entering the Contest, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

35. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Contest Entities in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of Utah, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Utah. Any legal proceedings arising out of this Contest or relating to these rules shall be instituted only in the federal or state courts located in the State of Utah, Summit County and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
